The Lads and Ladybugs website, www.ladsandladybugs.com (the "Site") is owned and operated by Lads and Ladybugs LLC ("Lads and Ladybugs"). Unless otherwise noted below, these terms and conditions ("the Terms") govern use of the Site. By using the Site, you agree to follow and be bound by these Terms. If for any reason you do not agree to these Terms, please do not access or use the Site.
The Right to Make Changes
Lads and Ladybugs reserves the right and sole discretion to make changes to the Site and to these Terms. When using our Site, you agree to accept any such changes, so we encourage you to review these Terms and changes posted here.

Lads and Ladybugs will be free to use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products that incorporate or otherwise rely upon such information.
Prohibited Uses
The Site may be used only for lawful purposes and is available only for your personal, noncommercial use, which shall be limited to viewing the Site, purchasing products, providing information to the Site, and downloading product information for your personal review. You are responsible for your own communications, including the transmission, posting, and uploading of information and are responsible for the consequences of such communications to the Site. Lads and Ladybugs specifically prohibits any use of the Site and requires all users to agree not to use the Site for any illegal or improper purposes, including but not limited to posting any information that is false, inaccurate, or not your own; constitutes trade secrets or copyrighted information that you do not have permission to publish; infringes any intellectual property, privacy, or publicity right of another; communicates by any means information or software from the site to foreign nations in violation of applicable export control laws, is an attempt to interfere with the Site’s or Lads and Ladybugs’ networks or security or to access another computer system without authorization.
Returns and Exchanges
Lads and Ladybugs maintains a Returns and Exchanges page, which sets forth the Terms and Conditions of Returns and Exchanges and is subject to modification by Lads and Ladybugs. By visiting and using our Site, you agree that any orders you place through the Site are subject to the Terms and Conditions of Returns and Exchanges set forth on that page.
Colors, Pricing, and Availability
We try to display our products and their colors as accurately as possible. Lads and Ladybugs cannot guarantee individual’s screens will accurately portray the actual colors of the products. Products displayed may be out-of-stock or discontinued, and prices are subject to change. Lads and Ladybugs is not responsible for typographical errors regarding price or any other matter.
Gift Cards, Codes, and Certificates Purchased for Value
The value of gift cards, codes, or certificates that are purchased with money or consideration of equal value (the “Purchase Value”) do not expire until the purchaser has used the entire Purchase Value of the gift card, code, or certificate. Such gift cards may be used in conjunction with another discount or promotion, including a promotional coupon, voucher, gift card, code, or certificate. Gift cards, codes, or certificates cannot be redeemed for cash. Returns on items purchased with a gift card, code, or certificate will be issued as store credit.
Promotions
Promotional coupons, vouchers, gift cards, codes, or certificates not purchased with money or consideration of equal value ( “Promotional Awards”) but issued as part of a promotion, award, or loyalty program expire no later than 30 days from issuance (unless Lads and Ladybugs explicitly states otherwise or extends) and may not be used in conjunction with any other discount or any other Promotional Awards.
Promotional Awards are valid for one-time use only, cannot be combined with other promotional gift cards/coupons, cannot be retroactively applied to past orders, cannot be returned for credit upon order return, are not valid past expiration date, have no cash value and cannot be used to purchase a gift card
Security Rules
Violations of system or network security may result in civil or criminal liability. Lads and Ladybugs may involve, and cooperate with, law enforcement authorities in prosecuting any user involved in such violations. You are prohibited from violating or attempting to violate the security of the Site, including, but not limited to accessing data not intended for you; logging on to a Lads and Ladybugs server or account without authorization; attempting to probe, scan or test the vulnerability of a system or network; attempting to breach or breaching security or authentication measures without proper authorization (or succeeding in such an attempt); attempting to interfere or interfering with the operation of our Site, our provision of services, our hosting provider, including, but not limited to submitting a virus to, overloading, "flooding", "mailbombing" or "crashing" the Site; forging any TCP/IP packet header or any part of the header information in any e-mail or posting to our site.
International Use
The Site is controlled and operated from the United States, and all information is processed within the United States. We do not represent that materials on the Site are appropriate or available for use in other locations. You agree to comply with all applicable laws, rules and regulations in connection with your use of the Site. Software that may be downloaded from the Site is subject to export controls under the laws and regulations of the United States. By visiting and using our Site, you acknowledge that you are not a national of, or resident within, any of the countries that are subject to trade embargo under these laws and regulations (currently, Cuba, Iran, North Korea, Sudan and Syria) or listed on any of the United States Government's lists of prohibited and restricted parties.

Lads and Ladybugs publishes information on its Site as a convenience to its visitors. While Lads and Ladybugs attempts to provide accurate and timely information, there may be inadvertent technical or factual inaccuracies and typographical errors. Lads and Ladybugs makes no representations or warranties of any kind regarding any non-Lads and Ladybugs sites to which you may be directed or hyperlinked from this Site.
Indemnity
You agree to defend, indemnify and hold Lads and Ladybugs, its directors, officers, employees, agents and affiliates harmless from any and all claims, liabilities, damages, costs and expenses, including reasonable attorneys' fees, in any way arising from, related to, or in connection with your use of the Site, your violation of the Terms or the posting or transmission of any materials on or through the Site by you, including, but not limited to, any third-party claim that any information or materials you provide infringes any third party proprietary right.
Disputes
Any dispute relating in any way to these Terms, your visit to the Site, or to any purchase, return, or other transaction with Lads and Ladybugs shall be submitted to binding, confidential arbitration in Salt Lake City, Utah. Any arbitration under this agreement and these Terms shall be conducted under the prevailing rules of the American Arbitration Association. To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action.
General Information
These Terms constitute the entire agreement between you and Lads and Ladybugs and govern your use of the Site, and they supersede any prior agreements between you and Lads and Ladybugs. You also may be subject to additional terms and conditions that are applicable to certain parts of the Site.
The failure of Lads and Ladybugs to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms shall be governed by, construed and enforced in accordance with the laws of the State of Utah, without giving effect to any conflict of law provisions.

Lads and Ladybugs uses a third-party service provider to transmit and manage credit card transactions. This third party service provider is compliant with the Payment Card Industry Data Security Standard ("PCI DSS"). Security measures include physical, electronic, and procedural safeguards; sophisticated security monitoring tools; documented security policies; use of strong encryption for transmissions of Order Information to and from CyberSource Customers; restricted access of personally identifiable information; and periodic security audits by third party security experts.
We collect only the client information we need to administer our business and communicate information relating to our products and services to our clients.
This website collects personally identifiable information (such as name, address, telephone and fax numbers, email address, and credit card and purchase information) from visitors only when such information is voluntarily provided. That information is used to process your purchases and requests and to provide service. Information about your shopping cart choices, purchases, or requests for customer assistance may be passed along internally at Lads and Ladybugs. Credit card and financing information also may be provided to credit card and consumer financing companies when required to process applications and transactions.
